1. Introduction and Acceptance

Welcome to Kryohm Metering Platform ("Platform", "Service", "we", "us", "our"). These Terms and Conditions ("Terms") govern your access to and use of our prepaid utility metering platform.

By registering for an account or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

2. Definitions

  • "User" means any individual who registers and uses the Platform to purchase prepaid utility credits
  • "Vendor" means a business entity that owns and manages prepaid meters on the Platform
  • "Meter" means a prepaid utility meter (water, electricity, or gas) registered on the Platform
  • "Token" means a unique code generated to add credits to a prepaid meter
  • "Credit Purchase" means a transaction to buy utility units for a prepaid meter

3. User Accounts

3.1 Registration

  • You must be at least 18 years old to register for an account
  • You must provide accurate, current, and complete information during registration
  • You must verify your email address before making purchases
  • You are responsible for maintaining the confidentiality of your password

3.2 Account Security

  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account
  • We may suspend or terminate accounts that violate these Terms
  • After 5 failed login attempts, your account will be locked for 15 minutes

3.3 Account Deletion

You may delete your account at any time through your account settings. Upon deletion, your personal information will be removed within 90 days, except where we must retain records for legal or accounting purposes (payment history retained for 7 years).

4. Meter Claims and Access

4.1 Claiming Meters

  • You may claim a meter by entering its meter number
  • You must have authorization from the meter vendor to claim a meter
  • Multiple users may claim the same meter (e.g., family members, roommates)
  • All users who claim a meter have equal access to purchase credits for that meter

4.2 Removing Meter Access

You may remove yourself from a meter at any time. This does not affect other users who have claimed the same meter. Your purchase history for that meter will be preserved.

5. Credit Purchases and Payments

5.1 Purchase Process

  • Prices are displayed in South African Rand (ZAR) and include applicable taxes
  • Tokens are pre-generated before payment to ensure availability
  • Payment is processed through Paystack, our secure payment gateway
  • You will receive your token via email within 2-5 minutes after successful payment

5.2 Payment Terms

  • All payments must be made in full at the time of purchase
  • We accept payments via credit card, debit card, and bank transfer through Paystack
  • Payment processing fees may apply as determined by Paystack
  • Failed payments will result in tokens being cancelled and not delivered

5.3 Pricing

Pricing is determined by:

  • Site-specific pricing (if configured by vendor)
  • Vendor-specific pricing (if configured)
  • System-wide default pricing

Prices may change at any time. The price at the time of your purchase confirmation will apply to your transaction.

6. Token Delivery and Validity

6.1 Delivery

  • Tokens are delivered to your registered email address
  • You can also view your token on the Platform after purchase
  • You may request a token to be resent if you did not receive it
  • You are responsible for ensuring your email address is current and accessible

6.2 Token Validity

  • Tokens may have a validity period (typically 30 days from generation)
  • You must enter the token on your meter before it expires
  • Expired tokens cannot be refunded or regenerated

6.3 Token Security

You are responsible for keeping your tokens secure. Do not share tokens with unauthorized persons. We are not liable for unauthorized use of tokens after delivery to you.

7. Refunds and Cancellations

7.1 No Refund Policy

Due to the nature of prepaid utility tokens (digital goods delivered immediately), we generally do not offer refunds once a token has been successfully generated and delivered.

7.2 Exceptional Circumstances

Refunds may be considered in the following exceptional cases:

  • Technical error resulting in duplicate charges
  • Token generation failure after successful payment
  • Meter malfunction preventing token acceptance (requires vendor verification)

7.3 Cancellation Before Payment

You may cancel a purchase before completing payment. Once payment is processed, the purchase is final.

8. Service Availability and Limitations

8.1 Service Uptime

We strive to maintain high service availability but do not guarantee uninterrupted access. The Platform may be unavailable due to maintenance, upgrades, or technical issues.

8.2 Third-Party Services

Our Platform relies on third-party services:

  • Paystack for payment processing
  • Calin API for token generation
  • Email service providers for notifications

We are not responsible for failures or interruptions caused by these third-party services.

8.3 Meter Compatibility

Tokens are generated for specific meter types. We are not responsible if a token does not work due to meter malfunction, incorrect meter number entry, or incompatible meter hardware.

9. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose
  • Claim meters without authorization from the vendor
  • Share your account credentials with others
  • Attempt to circumvent security measures or access controls
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Use automated scripts or bots to access the Platform
  • Interfere with or disrupt the Platform's operation
  • Transmit viruses, malware, or harmful code
  • Impersonate another person or entity
  • Engage in fraudulent payment activities

10. Intellectual Property

All content, features, and functionality of the Platform (including but not limited to software, text, graphics, logos, and trademarks) are owned by Kryohm or our licensors and are protected by South African and international copyright, trademark, and intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Platform without our express written permission.

11. Limitation of Liability

11.1 Service "As Is"

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Platform will be error-free, secure, or uninterrupted.

11.2 Limitation of Damages

To the maximum extent permitted by law, Kryohm shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from use or inability to use the Platform
  • Damages caused by third-party services (Paystack, Calin API, email providers)
  • Damages from meter malfunction or utility service interruptions

11.3 Maximum Liability

Our total liability to you for any claim arising from your use of the Platform shall not exceed the amount you paid for credit purchases in the 30 days immediately preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Kryohm, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Your use or misuse of the Platform
  • Your unauthorized access to meters

13. Termination

13.1 By You

You may terminate your account at any time by deleting your account through account settings.

13.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • You engage in fraudulent activity
  • You claim meters without authorization
  • Required by law or government request

13.3 Effect of Termination

Upon termination, you will lose access to your account. Your purchase history will be preserved for legal and accounting purposes. Payments already made are non-refundable.

14. Dispute Resolution and Complaints

14.1 Contact Us First

If you have a complaint or dispute, please contact us first at info@kryohm.co.za. We will make every effort to resolve the issue promptly.

14.2 Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of South African courts.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes by email or through a notice on the Platform. Your continued use of the Platform after changes constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
